Terms of Service for ReturnKey

1. Acceptance of Terms

By installing or using ReturnKey (“the App,” “Service”), you (“Merchant,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not install or use the App.

2. Description of Service

ReturnKey is a Shopify application that provides:

• Refund and return analytics
• SKU-level return tracking
• Fraud signal detection
• Reporting and export functionality

The App receives refund data via Shopify webhooks and displays analytics through an embedded dashboard.

3. Eligibility

You must:

• Have a valid Shopify store
• Have authority to bind your business to these Terms
• Be at least 18 years old

4. Account and Access

• Access to ReturnKey is granted through Shopify's OAuth authentication
• You are responsible for maintaining the security of your Shopify account
• You agree to notify us immediately of any unauthorized access

5. Acceptable Use

You agree NOT to:

• Use the App for any illegal purpose
• Attempt to reverse engineer, decompile, or extract source code
• Interfere with or disrupt the App's functionality
• Use the App to collect data for purposes other than your own store analytics
• Resell or redistribute access to the App

6. Data and Privacy

• Our collection and use of data is governed by our Privacy Policy
• You retain ownership of your store's data
• We process data solely to provide the Service

7. Fees and Payment

• Current pricing is available in the Shopify App Store listing
• Fees are billed through Shopify's billing system
• All fees are non-refundable unless required by law
• We reserve the right to change pricing with 30 days notice

8. Service Availability

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
• We may perform maintenance with reasonable notice when possible
• We are not liable for service interruptions beyond our control

9. Intellectual Property

• ReturnKey and its original content, features, and functionality are owned by us
• The App is protected by copyright, trademark, and other intellectual property laws
• You may not copy, modify, or create derivative works based on the App

10. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, or error-free
• Analytics or insights will be accurate or complete
• Any errors will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any decisions you make based on the App's analytics or insights

12. Indemnification

You agree to indemnify and hold harmless ReturnKey, its owners, employees, and affiliates from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

• You may terminate by uninstalling the App from your Shopify store
• We may terminate or suspend access immediately, without notice, for conduct that we believe violates these Terms
• Upon termination, your right to use the App ceases immediately
• You may request deletion of your data upon termination

14. Changes to Terms

• We may modify these Terms at any time
• Continued use of the App after changes constitutes acceptance
• Material changes will be communicated through the App or email

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions.

16. Dispute Resolution

• Any disputes shall first be attempted to be resolved through good-faith negotiation
• If negotiation fails, disputes shall be resolved through binding arbitration
• Class action lawsuits and class-wide arbitration are not permitted

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ReturnKey regarding the Service.
